Terms and Conditions

how we engage with each other

Please read these Terms and Conditions of Service (“Terms & Conditions”) carefully before installing or using any of our apps or plugins. By installing, accessing, or using any of our apps or plugins, you agree to be bound by these Terms & Conditions. If you do not agree, do not install or use the app or plugin.

1. License Grant

1.1 License. Subject to your compliance with these Terms & Conditions, we grant you a limited, non exclusive, non transferable, revocable license to install and use our apps or plugins for the number of sites or licenses corresponding to your purchased subscription tier.
1.2 Subscription Term. Each license includes updates available throughout your license period, beginning on the date of purchase. After the subscription term, the app or plugin will continue to function without updates until you renew your subscription; an active subscription is required for app or plugin support of any kind.

2. Usage Restrictions

You may not:

• Reverse engineer, decompile, or disassemble our apps or plugins.
• Sublicense, distribute, rent, lease, sell, or otherwise transfer an app or plugin except as expressly permitted under an Agency license.
• Remove, alter, or obscure any proprietary notices, labels, or trademarks in our app or plugin unless they offer the right to do so through our additional purchase white label brand plugins.
• Use our app or plugin in violation of any applicable law or third party right.

3. Ownership

All title, ownership rights, and intellectual property rights in and to our apps or plugins (including any updates, modifications, enhancements, or derivative works) are owned by us (Apps & Plugins) and our associated businesses where applicable. These Terms & Conditions do not grant you any rights to trademarks or service marks of us (Apps & Plugins) and our associated businesses.

4. Subscription & Renewal

4.1 Automatic Renewal. Where automatic renewals are available unless cancelled, subscriptions automatically renew at the end of each term at the then current price. We will notify you at least 30 days before any price change affecting renewal.
4.2 Cancellation & Refunds. You may cancel automatic renewal at any time through your account dashboard or by contacting support@apps-and-plugins.co.uk. Cancellation prevents future charges but does not entitle you to a refund for the current term. Refunds, if eligible, are handled in accordance with our separate Refund & Cancellation Policy.

5. Support & Maintenance

5.1 Support. During your active license subscription, we provide email support only for bug fixes, usage questions, and critical security issues.
5.2 Updates. We will make available all major and minor app or plugin updates released (where appropriate – older or retired versions may not be available) during your active subscription term, including security patches and compatibility enhancements.

6. Termination

6.1 By You. You may terminate your license by cancelling auto renewal if this method is available; your license expires at the end of the paid term.
6.2 By Us. We may terminate or suspend your license immediately if you breach these Terms & Conditions or misuse our apps and plugin.
6.3 Effect. Upon termination by you, you must remove the app or plugin installations by the end of the paid term. Sections 3, 7–12, and any other provisions that by their nature survive termination will remain in effect.

7. Limited Warranty

7.1 Warranty Period. We warrant that, for fourteen (14) days from purchase, the app or plugin will substantially conform to its published features and functionality.
7.2 Remedies. If the app or plugin does not conform during the warranty period, our sole and exclusive remedy is to use commercially reasonable efforts to correct the non conformity or refund your purchase price per our Refund & Cancellation Policy.
7.3 Exclusions. This limited warranty does not apply to:

• Modifications to the app or plugin not made by us.
• Incompatibilities with third party themes, plugins, apps, operations systems or hosting environments.
• Failures due to user misconfiguration or usage outside the documented scope.
• Problems attributable to network outages, firewall rules, or DNS misconfiguration beyond the app or plugin’s control.

7.4 Scope. This warranty covers only the functionality of the app or plugin as described in our documentation and does not cover service levels such as uptime, response times, or availability.
7.5. Security Disclaimer, No Performance Guarantees, and Acknowledgment of Risk

7.5.1 Our apps and plugins are provided to you strictly on an “as-is” and “as-available” basis. You acknowledge and agree that no security solution, including our plugins, can guarantee absolute or 100% protection against all cyber-attacks, unauthorised access, data breaches, malware, or other malicious activities.
7.5.2 While we use commercially reasonable efforts to develop and maintain our apps and plugins, the dynamic and evolving nature of cyber threats means that we cannot and do not warrant or guarantee that our apps or plugins will prevent all unauthorised access, be error-free, operate without interruption, or provide specific uptime, performance, or response times.
7.5.3 You understand and agree that the effectiveness, stability, and overall performance of security plugins, are inherently subject to various external factors beyond our direct control. These may include but are not limited to: your specific hosting environment, server configurations, interactions with other third-party WordPress themes or plugins, your website’s traffic, network outages, local firewall rules, and DNS configurations. You acknowledge that issues arising from such external factors are not covered by any warranty from us.
7.5.4 You are solely responsible for implementing additional security measures, including but not limited to, maintaining strong passwords, regularly updating your operating system, third-party applications, WordPress core, themes, and other plugins, backing up your website data, and adhering to general cybersecurity best practices.
7.5.5 To the maximum extent permitted by applicable law, you acknowledge and agree that we (Apps & Plugins) and our associated businesses where applicable, shall not be liable for any security breaches, unauthorised access, data loss, website compromise, or any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to such events, even if they occur despite our apps or plugin’s use.

8. Limitation of Liability

8.1 Liability Cap. To the maximum extent permitted by law, our (Apps & Plugins) and our associated businesses where applicable, total liability under or relating to these Terms shall not exceed the total amount you have paid for the app or plugin in the twelve (12) months preceding the claim.
8.2 No Consequential Damages. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business interruption.
8.3 Mandatory Local Rights. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Apps & Plugins and/or our associated businesses where applicable, its officers, directors, employees, and agents from any claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your breach of these Terms or misuse of our apps or plugins.
• Third party claims based on your content or configurations.
• Unauthorised modifications you make to our apps or plugins.

10. Security & Compliance

10.1 Vulnerability Disclosure. Report security issues via support@apps-and-plugins.co.uk. We will acknowledge within five (5) business days and issue a patch for Critical or High severity vulnerabilities within thirty (30) days where possible.
10.2 Data Handling. Our processing of any data (e.g., IP addresses, usernames, timestamps) is governed by our Privacy Policy.
10.3 Export Control. You agree not to export, re -xport, or transfer our apps or plugins to any jurisdiction, entity, or individual prohibited by applicable export control laws, including U.S. EAR and UK Export Control.

11. Changes to Terms

We may update these Terms by posting revised terms. Changes take effect thirty (30) days after posting. Continued use of the apps or plugins constitutes acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved by binding arbitration in London under the rules of the London Court of International Arbitration (LCIA).
